Terms of Service

1. Nature of the service — information, not advice

TICKR (the "Service") is an information tool that provides general information and educational content about stocks and ETFs. The Service is not investment advice, brokerage, or solicitation, and we are not a registered investment adviser, broker, or dealer.

All signal-strength classifications (Strong/Mixed/Weak), projections, and AI analyses are general information shown identically to every user — not recommendations tailored to any individual's situation, goals, or holdings. Nothing shown should be construed as a solicitation to buy or sell. All investment decisions and their outcomes are solely your responsibility.

Your use of the Service does not create any advisory, fiduciary, or brokerage relationship between you and us. Past performance and projections do not guarantee future results. Investing involves the risk of loss, including loss of principal.

2. Data sources — third-party, may be delayed or wrong

Quotes, financials, filings, and news come from third parties (e.g., IEX (Databento), SEC EDGAR) and may be delayed, inaccurate, or incomplete. Free quotes may be previous-close (EOD) and differ from real-time exchange prices. We do not warrant the accuracy, timeliness, or completeness of any data.

AI-generated summaries, scenarios, and answers may be inaccurate or misleading and must not be relied upon as fact.

3. Disclaimer of warranties (as-is)

The Service is provided "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

4. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages (including investment losses, lost profits, or data loss) arising from your use of or inability to use the Service. In no event will our total liability exceed the greater of the amount you paid us in the prior 12 months or US $100.

5. Eligibility (18+)

You must be at least 18 years old and comply with the laws of your jurisdiction to use the Service. The Service is intended for users in the United States.

6. Accounts · uploaded data

You are responsible for safeguarding your account credentials. Uploaded CSV files (holdings/transactions) are used only for read-only display and analysis; we never execute trades or access your brokerage account.

7. Subscriptions · billing

Paid plans (Pro, Max) are monthly subscriptions that auto-renew through Stripe. You are charged at the start of each billing cycle, and the listed features are available while your subscription is active.

You may cancel anytime in your account; cancellation stops future renewals and you retain access until the end of the current billing cycle. Paid plans start with a 7-day free trial; cancel during the trial and you will not be charged. We may change prices or features with prior notice.

Refunds: request a full refund within 24 hours of your first charge on a plan via the contact form and we will refund it in full. Later charges are non-refundable except where required by law. If you were charged by accident, contact us right away.

8. Acceptable use

You may not: scrape, crawl, or bulk-collect the Service or its data without authorization; reverse engineer it; violate any third-party data provider's terms; resell or redistribute data; circumvent security; impersonate others; or use the Service for unlawful or harmful purposes. We may rate-limit and restrict abusive accounts.

9. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless us and our personnel from any claims, damages, losses, and costs (including reasonable attorneys' fees) arising from your use of the Service, your breach of these Terms, or your violation of any third party's rights.

10. Termination

We may suspend or terminate accounts, or modify or discontinue the Service, without prior notice for breach of these Terms, legal risk, or operational need. You may end your use at any time by deleting your account. Provisions that by their nature should survive (e.g., disclaimers, limitation of liability, indemnification, dispute resolution) survive termination.

11. Dispute resolution — arbitration · class-action waiver

Any dispute relating to these Terms will be resolved by binding individual arbitration in the United States, and you and we waive the right to participate in any class action or class-wide arbitration (to the extent permitted by law). Small-claims court claims may be excepted.

12. Governing law

These Terms are governed by the laws of the State of New Jersey, USA, excluding its conflict-of-laws rules.

13. Changes to these Terms

We may modify these Terms and will update the 'Last updated' date on this page. Continued use after changes constitutes acceptance.

14. Severability · entire agreement

If any provision is held invalid or unenforceable, the remaining provisions stay in effect. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Service. Our failure to enforce a right immediately is not a waiver of that right.
